Seller / Vendor
The Seller (also referred to as the Vendor) operates the Website and promotes and sells products on behalf of the Supplier.

Supplier
The Supplier is the party that manufactures, owns, or provides the products and fulfills orders by shipping goods directly to the End Customer.

End Customer
Any individual or entity purchasing products through the Website.

4) Sales Relationship and Exclusivity

The parties hereby agree as follows:

The Seller wishes to promote and sell the products displayed on the Website on behalf of the Supplier. The Seller undertakes to submit all sales and/or orders resulting from the promoted products exclusively to the Supplier, without exception or reservation. The Seller shall not knowingly divert such sales or orders to any third party.

• If products are patented, the Supplier assures the Seller that it holds the necessary licenses to sell such goods.

16) Responsibilities of the Seller (Vendor)

The Seller is responsible for:

• The success and commercial performance of the Website/web shop

• The accuracy, legality, and operation of Website content

• Compliance with applicable laws relating to advertising and online commerce (to the extent applicable to the Seller’s operations)

The Supplier shall not be liable for the success, performance, legality, or commercial outcome of the Seller’s Website or online store.

17) Allocation of Liability

Each party remains responsible for its own area of control:

• Product quality, legality, warranties, and fulfillment: Supplier

• Website operation, marketing, customer interface, and content: Seller
